Selling your business or company can be, among others, one of the most important events in your life. The success or failure of this transaction will be directly related to the skill used to determine the value of your company, find the best buyer and organize a smart close.

BRAZILIAN DEAL has a participatory and constant learning strategy for the seller, seeking to align the seller's intended objectives with the potential buyer or investor. In this sense, in general, the following main steps are carried out:

Preparation of a detailed analysis of your business, navigating through the pillars that support transactions, such as:

  • Understanding and reformulation, if necessary, of the income statements and balance sheet to reflect the economic performance of the business;
  • Preparation of an independent valuation of the company to be sold to determine the fair market value of your company. Often, this analysis will also serve as a price justification for a buyer or investor and a potential lender;
  • Drafting of a Confidential Memorandum to improve the presentation of vital business information in a professional manner to potential buyers and investors;
  • Disclosure of a generic confidential profile, such as TEASER (ads), to be circulated in our network of contacts and internet, where information can be accessed by affiliated offices, investors, and covering a relevant part of the transaction market;
  • Training and guidance for executives on M&A processes;
  • Advising you to prepare for initial meetings with potential buyers and, after such meetings, accompany potential buyers on site visits to inspect your business premises (inside or outside of normal business hours):
  • Advising you to analyze the offers and terms of the negotiation, in order to identify the ideal scenario that is adhering to your goals and expectations;
  • Provide ongoing trading and consulting services during all phases of the transaction;
  • Maximizing the Intended Outcome - If you are seriously considering selling your business, you must understand what we can do for you and how to maximize your company's value;
  • Advice and preparation of contracts – Purchase and/or shareholders (if the purchase is not 100%);
  • Guidance for post-merger engagement;
  • Receipt and Discharge.

ACQUISITION OF COMPANIES

Also known as Buy-side advice, our methodology follows the journey with the company's management from its initial acquisition intentions to the conclusion of the operation, and we can thus objectively simplify:


1-) Initial contact

  • Teaser analysis and search for relevant information;
  • Business profile review;
  • Provide qualified information and decision-making content (operational and investment experience, resources);
  • Sign Non-Disclosure Agreement;
  • Training and guidance for executives on M&A processes .

 2-) Structuring the negotiation

  •  Review of the Memorandum and Confidential Prospectus;
  • Valuation analysis - valuation - to determine fair value and parameter values;
  • Carrying out analyzes and comparisons with local industries;
  • Confirmation of pricing and terms according to the buyer's strategy.

3-) Takeover offer

  • Closing meetings – discussion of business operations, assessment, scenarios, risks, synergies, among other aspects inherent to the buyer's objectives and intentions;
  • Visitation of facilities;
  • Preparation of the offer for purchase – “binding and non-biding”;
  • Negotiation and acceptance of the purchase offer.

4-) Confirmations

  •  Carrying out due diligence work - objective and succinct, bringing an accurate “photograph” of the practices adopted by the company;
  • Identification of the need for financing or capital for the realization of the investment;
  • Obtaining legal confirmations - regulatory approvals, CADE identification;
  • Set closing dates.

5-) Completed

  • Preparation of contracts – for purchase and/or shareholders (if the purchase is not 100%);
  • Guidance for post-merger engagement;
